TERMS AND CONDITIONS OF BUSINESS

1. DEFINITIONS:

In these conditions:-

'THE FIRM' means Michael Robinson whether trading as such or as Broadway Fine Art Limited or as or under any other style of his or their employees, agents or sub contractors.

'CUSTOMER' mean any person, firm or company utilising the Firm's Services.

'SERVICES' means that those services and goods supplied to a Customer by the Firm including without limitation Picture lining, framing, cleaning, restoring, repairing, cradling, varnishing, straining and stretching.

'PICTURE' means all paintings, drawings or other artworks and anything thereto (including frames or other containers or packaging) on which the Firm is instructed to carry out any Services on behalf of a Customer at any one time.

2. PAYMENT:

2.1 The Customer will pay the Firm within 7 days of receiving an invoice from the Firm.

2.2 All payments by the Customer will be made in full without any set off or counterclaim whatever.

2.3 The Firm has a general and particular lien over any Picture held for all money owing by the Customer to the Firm under any contract whatsoever and in any other way whatsoever. In case any lien is not satisfied within a reasonable time any Picture held may be sold and the proceeds of sale applied in or towards the satisfaction of every such lien and all proper charges and expenses in relation thereto and the Firm must account to the owners of the Picture for any surplus.

3. EXCLUSIONS OF LIABILITY:

Except in respect of death or personal injury caused by the Firm's negligence or as expressly provided in these Conditions the Firm shall have no liability to any Customer or to the owner of any Picture by reason of any representation (unless fraudulent) or any implied warranty, condition or other term or any duty at common law or under the express terms of any Contract for any loss of profit or any direct, indirect, special or consequential loss, damage, costs, expenses or other claims (whether caused by negligence of the Firm or otherwise) which arises out of or in connection with the provision of the Services.

4. WARRANTY:

The Customer warrants that it is the owner of the Picture or that it has the authority of the owner of the Picture to enter into Contract with the Firm on the owner's behalf for the Firm to carry out the Services on the Picture on the terms and conditions.
